1. Acceptance of Terms

By accessing or using the MyoSkel AI platform ("Service"), operated by MyoSkel AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and MyoSkel AI.

2. Description of Service

MyoSkel AI is an AI-powered medical education SaaS platform designed specifically for orthopedic surgical residents. The Service provides personalized study tools, adaptive question banks, and board examination preparation resources. The Service is intended solely for educational purposes and does not constitute medical advice, diagnosis, or treatment.

3. Account Registration

To access the Service, you must create an account by providing accurate and complete information, including your:

  • Full name
  • Email address
  • Post-Graduate Year (PGY) level
  • Affiliated institution
  • Scheduled examination date

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Eligibility

The Service is intended for use by medical professionals and trainees aged 18 and older. By creating an account, you represent and warrant that you meet these eligibility requirements and that all registration information you provide is truthful, accurate, and complete.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Share, distribute, or reproduce any content from the platform without prior written consent

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, AI-generated study materials, software, and underlying algorithms — are the exclusive property of MyoSkel AI or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial educational purposes only.

7. Medical Disclaimer

The Service is designed exclusively for educational and board examination preparation purposes. Nothing provided through the Service should be construed as medical advice, clinical guidance, or a substitute for professional medical judgment. MyoSkel AI is not a healthcare provider, and use of the platform does not establish a physician-patient relationship. Always rely on your clinical training, institutional protocols, and the guidance of qualified healthcare professionals when making medical decisions.

8. Data Privacy and HIPAA

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. We implement administrative, technical, and physical safeguards consistent with HIPAA requirements to protect any data that may constitute Protected Health Information (PHI). 11. Termination

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

14. Indemnification

You agree to indemnify, defend, and hold harmless MyoSkel AI and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
